Takeovers

We have been centrally involved in the majority of privatisation work in Ireland and have first hand experience of the issues that arise through the process.  The privatisations we have worked on include those of Irish Life and Trustee Savings Bank (TSB).  We also represented the Irish Government on the privatisation of Aer Lingus.  

We have extensive experience in advising on the regulation of monopolies and state aid issues that arise in the public, semi-state and private sectors.

Recent work includes advising:

  • Innocoll Holdings plc, the NASDAQ-listed specialty pharmaceutical company, on the recommended offer by Gurnet Point Capital to acquire it by scheme of arrangement under Ireland's Companies Act 2014 
  • International Consolidated Airlines Group (IAG) on its €1.4bn recommended all-cash takeover of Aer Lingus Group plc
  • King Digital Entertainment on its $5.9bn acquisition by Activision Blizzard, one of the largest deals in the history of the interactive entertainment industry
  • Forest Laboratories on its US$25bn merger with Actavis plc
  • Morgan Stanley in relation to the merger of Paddy Power and Betfair
  • Bank of America Merill Lynch on the funding of Medtronic Inc's US$42.9bn acquisition of Covidien plc
  • Skillsoft plc on the US$1.2bn recommended takeover bid, by scheme of arrangement, by a private equity consortium of Berkshire Partners LLC, Advent International Corporation and Bain Capital Partners LLC
