In Short: Draft Companies Bill - Private Companies

Key structural and governance implications for private companies under the recently published draft Companies Bill were addressed at the inaugural conference of the Irish Corporate Law Forum (ICLF) on 21 July 2011. Particular focus was given to new procedures designed to simplify corporate governance and the implications of the Bill on the role and duties of directors and company secretaries. Deirdre Mooney, FCIS, who is Manager of our Company Secretarial Department, presented at the conference on legislative innovations of the Companies Bill in relation to the holding of board meetings and general meetings, including the agenda and business at AGMs, holding general meetings outside the State and in multiple locations, and the possibility of dispensing with the holding of AGMs.
