In Short: ICSA Guidance Note "Joining the Right Board: Due Diligence for Prospective Directors"

The UK Institute of Chartered Secretaries and Administrators (ICSA) has published an updated version of its Guidance Note which sets out recommendations on the due diligence process a prospective director should take before accepting such a role.

The note recommends carrying out this due diligence to increase the chances of success for both director and company. It suggests actions such as reviewing the company’s annual report and website to see how it presents itself and arranging pre-appointment meetings with key members of the board.  It also sets out an extensive list of questions for a prospective director to consider asking the company, including questions on boardroom behaviour, the operation of the board and risk management.
