ESMA Q&A on the Short Selling Regulation

Earlier this year, the European Parliament and the Council of the European Union adopted Regulation 236/2012 on short-selling and certain aspects of credit default swaps. The Regulation is designed to increase transparency of short positions held by investors in certain EU securities and sovereign debt, and to address the potential risks arising from short-selling and credit default swaps in a harmonised manner.

The European Securities and Markets Authority (ESMA) recently published a consultation paper on its proposed Guidelines on remuneration policies and practices under MiFID.

IOSCO Policy Recommendations for Money Market Funds

On 9 October 2012, the International Organisation of Securities Commissions (IOSCO) published its final report on policy recommendations for MMFs which proposes 15 recommendations as the basis for common standards for the regulation and management of MMFs across jusrisdictions.   

 


Responses to ESMA Consultation on Delegated Acts under the Prospectus Directive

On 25 January 2011, the European Commission published its request to ESMA for advice on possible delegated acts concerning the Prospectus Directive, as amended. In its Consultation Paper ESMA sets out its proposals for: (a) amendments to the Prospectus Regulation in order to achieve greater clarity; and (b) application of the proportionate disclosure regime to convertible/exchangeable debt securities.
