William Fry Listing provides debt listing services to our clients who wish to list securities on the Irish Stock Exchange, now Euronext Dublin.

The William Fry Listing team has well established strong relationships with stakeholders in Europe, Asia and the US.  The extensive experience of the William Fry Listing team is complemented by the lawyers in both the Debt and Equity Capital Markets' teams.

We have gained significant experience over many years on countless transactions covering the full array of debt product offerings, including corporate bonds, asset-backed securities, debt (guaranteed, straight debt and convertible), portfolio securitisations, insurance-linked bonds, repackaging programmes, Green-energy bonds, Islamic finance, sovereign issuances, as well as Global Depositary Notes.  

William Fry Listing will:

  • Assess the viability of securities for approval and listing on the Official List of Euronext Dublin 
  • Work in tandem with our colleagues in Capital Markets and highlight applicable disclosure requirements
  • Make all submissions to Euronext Dublin and the Central Bank of Ireland
  • Review, analyse and resolve any comments raised by the regulators during the review process
  • Advise on the preparation of all documents required to proceed with final approval
  • Draft all ancillary paperwork and forms required in connection with the listing
  • Advise on, and assist with, an issuer's continuing obligations under domestic rules and regulations as well as European regulations 
  • Draft and file market announcements via Euronext Dublin 
  • Apply for ISIN, LEI and CFI codes

We have acted on some of the most notable and innovative transactions in Ireland. Recent transactions include advising:

  • Ardagh Packaging Group plc - Advised Ardagh in respect of a bond offering to finance the acquisition of a global metal beverage manufacturer.
  • Smurfit Kappa Group - Advised the Smurfit Group, through its subsidiary Smurfit Kappa Acquisitions Unlimited Company, on the issuance of corporate bonds, which are listed on Euronext Dublin.
  • Guotai Junan Securities (Hong Kong) Limited - Advised one of the largest investment banks and securities companies in the People's Republic of China on the establishment of an Irish repackaging programme to offer investors access to Chinese securities, equities, bonds and fund investments.
  • OPEN Cleantech - Advised on the establishment of a multi-currency secured note issuance programme by an Irish section 110 company to provide investors with an opportunity to invest in up to €500m of clean tech and renewable energy projects. The programme was listed by William Fry on the Irish Stock Exchange.
  • Goldman Sachs - Advised Goldman Sachs in relation to aircraft portfolio acquisitions and substitution under a $500m aircraft securitisation, which was listed by William Fry on the Irish Stock Exchange.
  • HSBC - Advised on a $300m asset backed securitisation for Bank of Communications Financial Leasing, the Chinese aircraft leasing arm of Bank of Communications, which was listed by William Fry on the Irish Stock Exchange.
  • Munich Re - Advising on a credit default swap structure utilising a s.110 securitisation company to issue notes and hedge against certain contracts of reinsurance and credit risk on defaults in portfolios.
  • Trinity Biotech - Advising Trinity Biotech on its $115,000,000 Exchangeable Senior Note issuance, which was listed on the Irish Stock Exchange.
  • Eli Global - Advised Eli Global on a corporate bond for an affiliate company. The bonds were listed on the main securities market of Euronext Dublin.
  • Fairfax Financial Holdings - Advised Fairfax Financial on a number of corporate bond issuances, which were listed by William Fry on Euronext Dublin.
  • Premier Foods - Advised the initial bank syndicate as initial purchasers of High Yield Senior Secured Notes issued by Premier Foods Finance plc. The Notes were listed on the Irish Stock Exchange.
  • British Airways - Advised British Airways on its $608.74million enhanced equipment trust certificate (EETC) transaction to fund the acquisition of a portfolio of 11 aircraft. William Fry also listed the EETCs on the Irish Stock Exchange.
  • Lasalle Asset Management - Advising LREDS III SV LIMITED on its issuance of variable funding notes to acquire real estate loans secured over commercial properties in the UK and selected European countries. The notes were listed on the Irish Stock Exchange by William Fry.
