William Fry Advises PerkinElmer on the Acquisition of the SimoTech Group

William Fry has advised PerkinElmer on the acquisition by its Project Farma division of PDAS Limited, trading as SimoTech.

Founded in 2011 and headquartered in Cork, Ireland, SimoTech has grown to become the largest Irish-owned automation and manufacturing IT company, serving 10 of the top 20 global pharma and biotech manufacturers. SimoTech partners with multinational life science organisations to design, build, and operate critical process automation systems that fast-track project delivery and provide operational efficiency and manufacturing agility, while achieving regulatory compliance. PerkinElmer is a global leader in analytical and testing solutions and pharma specialty services, serving life sciences, applied and industrial, and food markets. Headquartered in Shelton, Connecticut (USA), the company draws on nearly 90 years of innovation, and is a portfolio company of New Mountain Capital, the leading growth-oriented investment firm based in the United States.

Project Farma is PerkinElmer’s global service provider in advancing manufacturing and technical operations from ideation through commercialization and the Global Business Line for manufacturing solutions within the Pharma Specialty Services business unit.

The transaction is subject to customary regulatory approvals and closing conditions.

William Fry acted as lead counsel and advised on all aspects of the transaction, working alongside Simpson Thacher & Bartlett for US specific matters and Wong Partnership for Singaporean specific matters.
