David is active in all fields of corporate and commercial law, with a particular emphasis on corporate acquisitions and disposals, public takeovers and mergers, equity capital markets transactions and private equity.

Significant transactions include advising:

  • Davy and Investec in their roles as Joint Bookrunners on the €134 million placing of Ordinary Shares by Irish Residential Properties REIT plc (H1 2019).
  • Smurfit Kappa Group on all aspects of its response to two unsolicited offers received from International Paper Company (H1 2018).
  • Uniphar Plc on its acquisition of Sisk Healthcare (2018). 
  • The Department of Finance of Ireland on all aspects of the capital reorganisation of AIB (2015) and subsequent €3.4bn IPO of AIB (the largest European IPO in 2017).
  • Glanbia Co-operative on the spin-out of 7% (2013), 3.4% (2015) and 3% (2017) of the shares of Glanbia plc to the members of Co-operative and the placing of 6% (2012), 1.35% (2015) and 3% (2017) of the shares of Glanbia plc by the Co-operative (total proceeds c. €380m).
  • The Department of Finance of Ireland on the HoldCo re-organisations of each of Bank of Ireland and AIB (2017).
  • Glanbia Co-operative on the creation of Glanbia Ingredients Ireland (a joint-venture with Glanbia plc) (2012) and the subsequent acquisition of a majority interest in Glanbia plc's Dairy Ireland business and formation of Glanbia Ireland (2017).
  • King Digital Entertainment (the maker of Candy Crush) on its IPO on NYSE (2014) and subsequent US$5.9bn takeover by Activision Blizzard (2016).
  • Forest Laboratories on its US$28bn merger with Actavis plc (2014).
  • Debt:
    • Smurfit Kappa Group on several issues of Senior Secured Notes and Senior Notes.
    • Ardagh Packaging on several issues of Senior Secured Notes and Senior Notes.
    • Trinity Biotech on its issue of $115m Exchangeable Senior Notes due 2045.
    • Fairfax Financial Holdings on its €70m investment in a convertible bond instrument issued by FBD Insurance Plc (a subsidiary of FBD Holdings plc) and a subsequent sale of that instrument to FBD in 2018.
